Terms of Service

These terms apply when your company (the “Customer”) signs up for and uses FleetPulse, a software service provided over the Internet by Công ty TNHH SmartLogiX (“we”).

1. Accounts

The person signing up must be authorised to act for the company and give accurate details. The account is created once the email address is confirmed.

The Customer is responsible for the user and driver accounts it creates, for keeping passwords secret, and for telling us at once about any unauthorised access.

2. Plans and payment

• The Free plan can be used without time limit within its limits.
• Paid plans are charged at the published prices when you subscribe, excluding VAT, monthly or yearly, by bank transfer against our invoice.
• A plan is upgraded once we receive payment. If not renewed, the account returns to the Free plan or features above its limits are paused; the data is kept.
• We give at least 30 days' notice of price changes.

3. Customer data

The data the Customer puts into FleetPulse (trips, customers, trucks, drivers, invoices…) belongs to the Customer. We process it only to provide the service on the Customer's instructions and as our Privacy Policy describes.

The Customer can export its data at any time. After the contract ends we delete the data on the Customer's request or after 90 days, unless the law requires us to keep it longer.

The Customer is responsible for having a legal basis to put the personal data of its drivers, staff and partners into the system, including telling drivers about the location data collected during working hours.

4. Acceptable use

• Do not use the service for unlawful purposes.
• Do not try to access other companies' data, probe or disrupt the system.
• Do not resell or provide the service to third parties without an agreement.

5. Service commitment

We work to keep the service available and announce planned maintenance in advance. Enterprise plans may have their own service levels by contract.

E-invoices are issued through the e-invoice provider the Customer chooses; the Customer is responsible for the content of the invoices it issues.

6. Limitation of liability

To the extent the law allows, our liability for any one event does not exceed the amount the Customer paid for the service in the 12 months before it.

7. Termination

The Customer may stop using the service at any time. We may suspend an account that breaches these terms after notice, except in an emergency to protect the system or other customers.

8. Governing law

These terms are governed by Vietnamese law. Disputes are first resolved by negotiation, failing which by the competent court in Vietnam.
